Terms of Service

These Terms of Service govern your access to and use of Apexium, operated by Apexium Inc. ("we", "us"). By creating an account or using the service, you agree to these terms.
1. The service
Apexium is a multi-tenant CRM and marketing automation platform delivered as a subscription service at apexium.team. Features and pricing are as described at /pricing.
2. Account registration
You must be at least 18 years old and provide accurate information. You're responsible for all activity on your account. Notify us immediately at security@apexium.team of any unauthorized access.
3. Subscription + billing
- 14-day free trial; no card required
- Plans auto-renew until canceled in workspace settings
- Cancellations take effect at the end of the current period
- No refunds for partial billing periods (except as required by law)
- Usage-based fees (SMS, AI, voice) bill at end of cycle at rates listed at /pricing
- Overdue payments past 14 days may result in service suspension
4. Acceptable use
You agree not to:
- Send unsolicited bulk email or SMS in violation of CAN-SPAM, TCPA, or local laws
- Upload illegal content, malware, or content infringing third-party rights
- Attempt to access other tenants' data, reverse-engineer the service, or evade rate limits
- Use the service to harass, defraud, or harm others
- Resell the service except via the agency white-label feature on the Enterprise tier
5. Customer data
You retain ownership of data you upload. We act as a data processor and process your data solely to provide the service. See our Privacy Policy.
6. AI features
Some features use Anthropic's Claude API. By using AI features you acknowledge: (a) outputs are generated and may contain errors; (b) we may submit your prompts to Anthropic to provide the feature; (c) you remain responsible for verifying AI-generated content before sending to your customers.
7. Service availability
We aim for 99.9% uptime. Planned maintenance is announced at least 48h in advance. Unplanned outages and incident response details are documented at our public status page (URL TBD before public launch).
8. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these terms is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
9. Termination
You may cancel your subscription anytime. We may suspend or terminate accounts that violate these terms with notice (immediate notice for severe violations). On termination you have 30 days to export your data; after that we delete it. Self-service tenant deletion + data export are available via admin support during this window.
10. Data deletion + portability
- Soft-delete with 30-day grace: when a workspace is deleted (admin-initiated via support), data is preserved for 30 days during which restoration is possible.
- Hard-delete after grace: automatic permanent deletion runs daily after the 30-day grace window expires. Once hard-deleted, data cannot be recovered.
- Data export: admin can request a complete data export at any time during active subscription OR within the grace window. Export delivers a gzipped JSON bundle via signed URL (7-day expiry).
- GDPR Article 17 (right to erasure): customers may request immediate hard-delete via legal@apexium.team; we comply within statutory time limits.
- GDPR Article 20 (right to data portability): the data export feature satisfies this requirement; the format is machine-readable JSON.
11. Governing law
These terms are governed by the laws of the State of Delaware, USA. Disputes resolve via binding arbitration in Delaware unless waived by both parties. (Final jurisdiction language pending legal review before public launch.)
12. Changes
We'll notify customers via email at least 30 days before any material change. Your continued use after the effective date constitutes acceptance.
